چکیده
قراردادهای دولتی با آنکه در تجارت بینالمللی از مقبولیت و گستردگی بسیاری برخوردار است، بنا به دلایل متعددی همچون نابرابری دو طرف، بحثانگیز بوده و ابهامها و خطرهای حقوقی و همچنین سیاسی و اجتماعی بسیاری در پی داشته است. این وضعیت، نگرانیهایی را نسبت به آیندة قراردادهای مزبور برای طرفهای قرارداد (که بخشهای دولتی و خصوصی کشورمان نیز به گونهای درگیر این قراردادها هستند) ایجاد میکند.
این نوشتار، با بررسی نکات اساسی این قراردادها، مانند خصوصیات، چگونگی مذاکره، موقعیت طرفها، تفاوت بین دولتها و ماهیت آنها از یک سو و مواد تخصّصی ـ حقوقی عمدة قراردادهای مزبور، همچون قانون قابل اعمال، شرط ثبات، روش حلّ و فصل اختلافات و قوة قاهره از سوی دیگر، باعث میشود تا طرفهای آن بتوانند آنها را بهتر و موفقتر منعقد کرده و در فضایی آرام و دور از سوء تفاهم اجرا کنند.

Notwithstanding that governmental contracts enjoy a high acceptability and expansion in commercial international law, it, due to various reasons such as mutual imbalance, has been disputable and confronting numerous ambiguities as well as legal, political and social dangers.
This state, creates concern about the future destiny of the aforementioned contracts for the contractual parties including the governmental and private sectors of our country each of which is involved in such contracts somehow.of stability, method of settlement of disputes and force major on the other hand all of which help their parties form them better and more successfully and then enforce them in a pacific atmosphere without any misunderstanding.
